Terms of Service

1. Who we are

AIShortlist is provided by Vera Danışmanlık Limited Şirketi, trading as Vera Bilişim ("we", "us").

These terms apply to the website aishortlist.app and the web dashboard at dashboard.aishortlist.app (together, the "Service"). By creating an account or using the Service, you accept these terms.

2. What the Service does

The Service:

• measures whether ChatGPT, Gemini and Perplexity recommend your brand in answers to questions you approve;
• runs a technical check of your website;
• writes text suggestions for your pages with AI.

The Service sends queries to third-party AI providers (OpenAI, Google Gemini and Perplexity) through their APIs.

3. Add-ons

Shopify app

The Shopify app is hosted and runs on our servers. It is installed through Shopify and is also subject to Shopify's terms. Its privacy page is at app.aishortlist.app/gizlilik. [LAWYER: confirm whether separate terms apply to the Shopify app or these terms cover it.]

ExpressionEngine add-on

The ExpressionEngine add-on is self-hosted. It runs inside your own ExpressionEngine installation and uses your own API keys. It sends nothing to us. You are responsible for your installation, your API keys and your agreements with the AI providers. [LAWYER: confirm licence terms for the add-on, e.g. [LICENCE NAME].]

4. Accounts

• You must give a valid email address and keep your password secret.
• You are responsible for all activity under your account.
• You must be old enough to enter a binding contract in your country.
• If you use the Service for a company, you confirm that you may bind that company to these terms.

5. Plans and prices

• Prices are in US dollars.
• A yearly plan costs the price of 10 months.
• Taxes may apply depending on your country.
• Plan limits are shown on the pricing page and in the dashboard. We may change prices for future periods. We will tell you by email at least [NOTICE PERIOD] days before a change affects you.

6. Payment

• You pay by card through our payment provider, [PAYMENT PROVIDER NAME].
• We never store your card data.
• Paid plans renew automatically at the end of each monthly or yearly period until you cancel.
• If a payment fails, we may limit or suspend paid features until payment is made.

7. Upgrades, downgrades and cancellation

• You can cancel at any time in the dashboard.
• After you cancel, access continues until the end of the period you paid for. On a yearly plan, that is the end of the year; the remaining months are not refunded.
• Upgrades apply immediately.
• Downgrades and cancellations apply at the end of the current period.

Refunds are covered by our Cancellation and Refund Policy.

8. How measurements work

• You approve the questions before a measurement runs.
• AI answers change from run to run. The same question can give different results.
• We report what the AI providers returned. We do not control their answers.
• We do not guarantee that any AI system will recommend your brand, now or in the future.

9. Text suggestions

• Text suggestions only use facts from your own public website.
• AI can still make mistakes. You must review every suggestion before you publish it.
• You are responsible for what you publish.

10. Acceptable use

You must not:

• measure brands you are not authorised to represent for deceptive purposes;
• scrape the Service, or resell or give others access to our API or the Service without our written consent;
• try to get around plan limits, security measures or access controls;
• use the Service in breach of any law or of the AI providers' usage policies.

Each plan has fair use limits. If your use goes beyond them or harms the Service, we may limit it and will contact you first where possible.

11. Your content

Your brand data, questions and results remain yours. You give us the right to process them only to provide the Service. How we handle personal data is described in our Privacy Policy.

12. Our rights

The Service, its software and its design belong to us or our licensors. These terms do not transfer any of these rights to you.

13. Availability and changes

• We aim to keep the Service available but do not promise uninterrupted access.
• The Service depends on third-party AI providers and hosting. If they change or stop their services, some features may change or stop.
• We may change features. If a change materially reduces a paid feature, we will tell you in advance.

14. Suspension and termination

• You can delete your account at any time.
• We may suspend or close an account that seriously or repeatedly breaks these terms. Where possible, we will warn you first.

15. Liability

• The Service is provided "as is" to the extent the law allows.
• We are not liable for indirect or consequential loss, lost profit or lost business.
• Our total liability for any claim is limited to the amount you paid us in the [12] months before the claim.
• Nothing in these terms limits liability that cannot be limited by law, for example for intent or gross negligence.

16. Changes to these terms

We may update these terms. We will tell you about material changes by email or in the dashboard at least [NOTICE PERIOD] days before they apply. If you keep using the Service after that, the new terms apply.

17. Governing law and courts

These terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Istanbul (Anadolu) have jurisdiction.

If you are a consumer, this does not remove the mandatory consumer protection rules of the country where you live, or your right to use the courts available to you under those rules.
